Terms of Service

Effective Date: May 24, 2026

Welcome to Nova Wallet. These Terms of Service (“Terms”) govern your access to and use of the Nova Wallet iOS application, related software features, documentation, websites, support channels, and any associated services or content (collectively, the “Services”).

Nova Wallet is owned and operated by Nova Shield LLC.

By downloading, installing, accessing, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy (together, the “Agreement”). If you do not agree, do not download, install, access, or use the Services.

1) Definitions

“Nova,” “we,” “us,” or “our” means Nova Shield LLC, the provider, owner, and operator of the Services, including its affiliates, service providers, and licensors where applicable.

“You,” “your,” or “User” means the person or entity accessing or using the Services.

“Software” means the Nova Wallet iOS application, updates, modules, integrations, and related software components.

“Device” means a supported Apple iPhone, iPad, or other supported Apple device owned or controlled by you.

“Wallet” means a blockchain wallet, account, address, keypair, seed phrase, private key, or related cryptographic credential used to access blockchain networks or digital assets.

“Digital Assets” means cryptocurrencies, tokens, NFTs, stablecoins, or other blockchain-based assets.

“Third-Party Services” means blockchains, decentralized applications, protocols, bridges, exchanges, liquidity providers, RPC providers, analytics providers, fiat providers, wallet adapters, and other third-party products or services that may be accessed through, connected to, or referenced by the Services.

“Beta” means any pre-release, experimental, preview, TestFlight, developer, canary, or otherwise non-general-availability build or feature of the Software.

“$NOV” means a community token referenced in Section 13 below.

2) Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Services. If you are under the age of legal majority, a parent or legal guardian must review and accept these Terms and supervise your use.

You represent that you are not barred from using the Services under applicable law, including export controls, sanctions restrictions, financial regulations, or restrictions applicable to digital asset services.

You are solely responsible for determining whether your use of the Services is lawful in your jurisdiction.

3) Non-Custodial Wallet; User Responsibility

Nova Wallet is intended to operate as a non-custodial wallet. This means that, unless expressly stated otherwise for a specific feature, Nova does not take custody of your Digital Assets and does not control your private keys, seed phrases, recovery phrases, or on-chain accounts.

You are solely responsible for safeguarding your Wallet credentials, including private keys, seed phrases, recovery phrases, passwords, device passcodes, biometric access, encrypted backups, and recovery materials.

If you lose access to your Wallet credentials, Nova may not be able to recover your Wallet, Digital Assets, or transaction history. If someone gains unauthorized access to your Wallet credentials, they may be able to transfer your Digital Assets without your consent.

You acknowledge and agree that blockchain transactions are generally irreversible. Nova cannot reverse, cancel, refund, or recover transactions once they are submitted to a blockchain network.

4) Account Registration, Authentication, and Backups

Some features may require authentication, device-level permissions, cloud backup functionality, or third-party sign-in.

You agree to provide accurate, current, and complete information where required and to keep it up to date.

You are responsible for maintaining the confidentiality and security of your credentials, Device, Apple ID, iCloud account, recovery methods, and any third-party account used with the Services.

If Nova offers encrypted backup or recovery-related features, you are responsible for understanding how those features work, maintaining access to any required credentials, and verifying that backups are complete and usable. Nova does not guarantee that any backup, recovery, sync, or restoration process will be successful in every circumstance.

You must promptly notify us of any suspected unauthorized access, security incident, or loss of control over your account, Wallet, Device, or credentials.

Third-party authentication or backup providers are independent platforms with their own terms and privacy practices. Your use of those providers is subject to their terms.

5) Wallet Features, Transactions, and User Approval

The Services may allow you to view balances, connect to decentralized applications, sign messages, create or submit transactions, swap assets, bridge assets, place orders, access token information, inspect wallet activity, scan dApp connections, or use other blockchain-related features.

You are solely responsible for reviewing all transaction details before approving, signing, or submitting any transaction. This includes recipient addresses, asset amounts, network fees, priority fees, slippage, price impact, token contracts, permissions, approvals, order details, bridge routes, and any other transaction data shown in or outside the Services.

Nova may provide transaction previews, warnings, simulations, safety checks, labels, token metadata, price data, risk indicators, AI-generated explanations, or other informational tooling. These tools are provided on a best-effort basis and may be incomplete, inaccurate, delayed, unavailable, or unable to detect all risks.

Nova does not guarantee that any transaction, dApp, token, contract, protocol, website, route, quote, bridge, market, or counterparty is safe, legitimate, liquid, compliant, or free from defects, exploits, manipulation, or fraud.

You remain solely responsible for your decisions and transactions.

6) Third-Party Services and Blockchain Networks

The Services may depend on or interoperate with Third-Party Services. Nova does not own or control Third-Party Services and is not responsible for their content, operation, availability, accuracy, security, legality, fees, transactions, smart contracts, liquidity, order execution, or user experience.

Your use of Third-Party Services is subject to their own terms, privacy policies, fees, risks, and restrictions. You are responsible for reviewing and complying with those terms.

Blockchain networks may experience congestion, downtime, forks, failed transactions, delayed confirmations, validator issues, RPC outages, inaccurate indexing, or other technical issues. Nova is not responsible for losses, delays, failed transactions, or inaccurate information caused by blockchain networks or Third-Party Services.

7) App Store Distribution

Nova Wallet is distributed through the Apple App Store. Your download and use of Nova Wallet may also be subject to Apple’s terms, policies, and rules, including the Apple Media Services Terms and applicable App Store requirements.

Apple is not responsible for the Services, their content, maintenance, support, claims, investigations, or legal compliance, except as required by applicable law or Apple’s own terms.

To the extent required by Apple, Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of Nova Wallet on Apple devices.

8) System Requirements; Updates; Changes

Use of the Services may require a supported Apple device, compatible iOS or iPadOS version, sufficient storage, internet access, device permissions, and access to certain third-party services.

We may provide patches, updates, or new versions that automatically install or prompt you to install through the App Store or other permitted distribution channels. Updates may modify, add, or remove features, interfaces, dependencies, supported networks, supported assets, or integrations.

We may add, modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice. We have no obligation to maintain legacy versions, specific features, specific integrations, or support for any particular blockchain network, token, protocol, device, or operating system.

9) License Grant and Restrictions

Subject to your compliance with this Agreement, Nova grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Software on Devices you own or control for your personal or internal business purposes.

You will not, and will not enable others to:

copy, modify, translate, adapt, or create derivative works of the Software except to the extent a specific component is licensed under open-source terms that allow it;

reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, protocols, models, or non-public systems, except to the extent such restriction is prohibited by law;

bypass, disable, or interfere with security-related features, usage limits, access controls, or license enforcement;

rent, lease, lend, sell, sublicense, assign, distribute, or make the Software available to third parties except as expressly permitted by us;

use the Services to operate malware, wallet drainers, phishing kits, scams, unauthorized automation, abusive bots, or other harmful systems;

use the Services for illegal, harmful, deceptive, high-risk, or unauthorized purposes.

Open-source components may be provided under separate open-source licenses. To the extent of any conflict, the applicable open-source license terms govern those components.

10) Prohibited Conduct

You agree not to use the Services to:

violate any applicable law, regulation, third-party right, export control, or sanctions restriction;

engage in fraud, deception, market manipulation, money laundering, terrorist financing, sanctions evasion, or other unlawful financial activity;

harass, harm, exploit, impersonate, or mislead others;

create, distribute, promote, or operate malware, spyware, wallet drainers, phishing pages, malicious smart contracts, or other harmful code;

gain unauthorized access to accounts, devices, wallets, systems, networks, or data;

interfere with, overload, probe, scrape, exploit, or compromise the Services or related infrastructure;

use the Services to facilitate transactions involving stolen assets, illegal goods or services, or prohibited jurisdictions;

misrepresent your affiliation with Nova or any third party.

We may investigate and take any action we deem appropriate, including suspension, termination, blocking access to certain features, referral to authorities, or legal action.

11) Beta Disclaimer; Pre-Release Features

Beta builds and Beta features are experimental and may be incomplete, unstable, inaccurate, or unavailable. Features may change without notice, and performance may vary.

You use Beta features at your sole risk. We may limit, modify, or revoke Beta access at any time.

TestFlight, pre-release, or invite-only versions of Nova Wallet may be subject to additional limits, requirements, or confidentiality obligations communicated at the time of access.

12) Payments; Fees; App Store Purchases

Some features may be free, while others may require payment, subscription, access eligibility, or third-party fees.

If purchases or subscriptions are offered through the App Store, payment, renewal, cancellation, and refund handling may be managed by Apple under Apple’s terms and policies.

Blockchain transactions may involve network fees, priority fees, validator fees, liquidity provider fees, protocol fees, bridge fees, price spreads, slippage, or other costs. These fees may be charged by third parties or blockchain networks and may not be controlled by Nova.

Fees are non-refundable except where required by law, Apple policy, or where we expressly state otherwise.

You agree not to bypass any paywall, access control, quota, fee, or usage limit.

13) Community Token ($NOV) Disclosures

Nova’s ecosystem may be associated with a community token known as $NOV. $NOV is not sold by Nova within the Services. If you acquire $NOV elsewhere, you acknowledge and agree:

$NOV does not convey any equity, ownership, dividends, profit-share, governance rights, creditor rights, or any claim against Nova Shield LLC or its affiliates.

$NOV is not an investment, security, note, or financial product offered through the Services.

Nothing in the Services or these Terms is an offer to sell or a solicitation to buy any security or financial instrument.

$NOV is intended solely as a community-driven, experimental mechanism that may support ecosystem initiatives at Nova’s discretion.

There is no promise or expectation of profit, appreciation, liquidity, listing, utility, buyback, burn, reward, or future functionality.

Jurisdictional restrictions may apply. You are solely responsible for complying with local laws, taxes, and reporting obligations related to any token activity.

Nova does not control third-party marketplaces, smart contracts, bridges, liquidity pools, or exchanges and bears no responsibility for losses or issues arising from them.

References to $NOV in communications, transparency reports, burns, locks, contributions, or ecosystem updates are informational, may be forward-looking, and may change without notice.

14) Security; No Professional Advice

The Services may provide wallet safety checks, dApp warnings, transaction analysis, token labels, risk indicators, AI-generated explanations, security guidance, or other informational outputs.

These outputs are provided for informational purposes only and do not constitute legal, financial, investment, tax, cybersecurity, or professional advice.

Nova does not guarantee threat prevention, exploit detection, fraud detection, transaction success, asset recovery, price accuracy, market accuracy, or protection from loss.

You should independently verify information before making decisions and consult qualified professionals where appropriate.

15) High-Risk Use Disclaimer

The Services are not designed for use in hazardous environments, mission-critical systems, regulated financial infrastructure, emergency communications, medical systems, life support, nuclear facilities, air traffic control, or any other setting where failure could lead to death, personal injury, severe environmental damage, major financial loss, or systemic risk.

You must not use the Services for any High-Risk Use.

16) User Content; Logs; Telemetry

You may submit feedback, support requests, logs, screenshots, wallet addresses, transaction details, crash reports, or other content to Nova.

If you voluntarily submit content to us, you grant Nova a non-exclusive, worldwide, royalty-free license to use, reproduce, analyze, modify, and create derivative works from such submissions for the purposes of operating, supporting, improving, securing, and developing the Services.

Do not submit information you are not authorized to share. Do not submit private keys, seed phrases, recovery phrases, passwords, confidential documents, or sensitive personal information.

The Services may collect limited technical, diagnostic, analytics, or telemetry data as described in our Privacy Policy. Where options are provided, you may control certain data collection settings.

17) Intellectual Property; Feedback

The Services, including Software, UI, UX, graphics, branding, logos, documentation, models, systems, and content, are owned by Nova Shield LLC or its licensors and are protected by intellectual property laws.

Except for the limited license granted in these Terms, no rights are granted to you in the Services.

If you provide suggestions, bug reports, ideas, or feedback, you grant Nova a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback without restriction or obligation to you.

18) Third-Party Content and Market Data

The Services may display token metadata, prices, charts, liquidity data, balances, transaction history, social information, labels, risk indicators, or other third-party content.

Such information may be inaccurate, delayed, incomplete, unavailable, manipulated, or inconsistent across providers. Nova does not guarantee the accuracy or completeness of third-party content or market data.

You should not rely solely on information displayed in the Services when making financial, legal, tax, security, or transactional decisions.

19) DMCA & Copyright Policy

If you believe content within the Services infringes your copyright, send a notice compliant with 17 U.S.C. §512(c)(3) to our designated agent:

20) Export Control; Sanctions; Anti-Corruption

You represent that you are not located in, under control of, or a national/resident of any country or party subject to U.S. embargoes or sanctions, and you are not on any U.S. government denied-party list.

You will comply with U.S. Export Administration Regulations, U.S. sanctions, and all similar laws. You will not use the Services for any prohibited end use.

You also agree to comply with applicable anti-bribery and anti-corruption laws, including the U.S. FCPA and U.K. Bribery Act where applicable.

21) Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we handle personal information, wallet-related data, telemetry, analytics, retention, and your choices.

You should review the Privacy Policy before using the Services.

22) Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS.

NOVA SHIELD LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, COMPATIBLE WITH ALL DEVICES OR NETWORKS, FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THAT ANY WALLET, TRANSACTION, TOKEN, PROTOCOL, DAPP, SMART CONTRACT, BRIDGE, EXCHANGE, ROUTE, QUOTE, PRICE, WARNING, LABEL, OR SECURITY CHECK WILL BE SAFE, ACCURATE, PROFITABLE, COMPLIANT, OR FREE FROM LOSS.

YOU ARE SOLELY RESPONSIBLE FOR YOUR WALLET, CREDENTIALS, TRANSACTIONS, DIGITAL ASSETS, BACKUPS, SECURITY PRACTICES, TAXES, COMPLIANCE, AND DECISIONS.

23) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NOVA SHIELD LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA; LOSS OF PROFITS OR REVENUE; LOSS OF DIGITAL ASSETS; LOST OPPORTUNITY; BUSINESS INTERRUPTION; DEVICE FAILURE OR MALFUNCTION; SECURITY INCIDENTS; UNAUTHORIZED ACCESS; FAILED TRANSACTIONS; SMART CONTRACT EXPLOITS; MARKET VOLATILITY; PRICE IMPACT; SLIPPAGE; BRIDGE FAILURE; PROTOCOL FAILURE; THIRD-PARTY SERVICE FAILURE; OR COSTS OF SUBSTITUTE GOODS OR SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL NOVA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO NOVA FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $50.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

24) Indemnification

You will defend, indemnify, and hold harmless Nova Shield LLC and its affiliates, officers, employees, agents, suppliers, service providers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to:

your use or misuse of the Services;

your Wallet, transactions, Digital Assets, or interactions with Third-Party Services;

your violation of this Agreement or applicable law;

your infringement or violation of third-party rights;

your fraud, misconduct, negligence, or unauthorized activity.

25) Term; Suspension; Termination

This Agreement becomes effective when you first download, install, access, or use the Services and continues until terminated.

We may suspend, restrict, or terminate your access to the Services at any time for any or no reason, including violation of these Terms, legal or regulatory risk, security risk, suspected fraud, abuse, or risk to Nova, users, third parties, or infrastructure.

You may terminate this Agreement by uninstalling Nova Wallet and ceasing all use of the Services.

Upon termination, your license ends and you must stop using the Services. Sections that by their nature should survive will survive, including Sections 3, 5, 6, 9–24, and 26–34.

Termination will not affect blockchain transactions already submitted or your obligations related to prior use.

26) Government Use

If you are a U.S. Government end user, the Software is “commercial computer software” and “commercial computer software documentation” provided with only those rights set forth in this Agreement, per FAR 12.212 and DFARS 227.7202, as applicable.

27) Notices; Electronic Communications

We may provide notices, including updates to these Terms, through the Services, our website, email, App Store listing, or other reasonable electronic means.

You agree to receive communications electronically and that such communications satisfy any legal requirement that communications be in writing.

28) Assignment

You may not assign or transfer this Agreement without Nova’s prior written consent.

Nova may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or change of control.

29) Governing Law; Venue; Jury & Class Waiver

This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules.

You consent to the exclusive jurisdiction and venue of the state and federal courts located in Casper, Wyoming for any dispute not subject to arbitration or where arbitration is unavailable.

To the maximum extent permitted by law, you and Nova waive any right to a jury trial and any right to participate in a class, consolidated, collective, or representative action.

30) Force Majeure

Nova will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, labor disputes, shortages, cyberattacks, war, terrorism, civil unrest, natural disasters, utilities or communications failures, blockchain network failures, third-party service outages, regulatory action, or governmental action.

31) Changes to These Terms

We may update these Terms from time to time. Material changes may be communicated through the Services, our website, email, App Store listing, or other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree, you must stop using the Services.

32) Severability; No Waiver

If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision is not a waiver of such right or provision.

33) Entire Agreement; Order of Precedence

These Terms and the Privacy Policy constitute the entire agreement between you and Nova regarding the Services and supersede all prior or contemporaneous agreements on the subject matter.

In the event of conflict between these Terms and any open-source license for a specific component, the open-source license governs that component.
