Terms of Service

Effective Date: June 9th, 2026

Welcome to Nova Wallet. These Terms of Service (“Terms”) govern your access to and use of the Nova Wallet iOS application, related software features, documentation, websites, support channels, and any associated services or content (collectively, the “Services”).

Nova Wallet is owned and operated by 404 ENTERPRISE LLC.

By downloading, installing, accessing, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy (together, the “Agreement”). If you do not agree, do not download, install, access, or use the Services.

1) Definitions

“Nova,” “we,” “us,” or “our” means 404 ENTERPRISE LLC, the owner and operator of Nova Wallet and the Services, including its affiliates, service providers, and licensors where applicable.

“You,” “your,” or “User” means the person or entity accessing or using the Services.

“Software” means the Nova Wallet iOS application, updates, modules, integrations, and related software components.

“Device” means a supported Apple iPhone, iPad, or other supported Apple device owned or controlled by you.

“Wallet” means a blockchain wallet, account, address, keypair, seed phrase, private key, recovery phrase, or related cryptographic credential used to access blockchain networks or Digital Assets.

“Digital Assets” means cryptocurrencies, tokens, NFTs, stablecoins, or other blockchain-based assets.

“MoonPay” means MoonPay and/or its applicable affiliates, subsidiaries, partners, payment processors, banks, financial institutions, service providers, and related entities that provide fiat-to-crypto, crypto-to-fiat, on-ramp, off-ramp, checkout, payment, compliance, identity verification, or transaction services that may be accessible through or linked from the Services.

“MoonPay Services” means any fiat-to-crypto, crypto-to-fiat, on-ramp, off-ramp, purchase, sale, swap, checkout, payment, account, identity verification, KYC, AML, sanctions screening, fraud screening, transaction, receipt, refund, chargeback, dispute, or other service provided by MoonPay.

“Third-Party Services” means MoonPay, blockchain networks, RPC providers, analytics providers, token metadata providers, price data providers, wallet adapters, Apple services, cloud backup providers, websites, decentralized applications, protocols, and other third-party products or services that may be accessed through, connected to, displayed in, or referenced by the Services.

“Restricted Jurisdiction” means any country, region, territory, state, province, or jurisdiction where access to or use of the Services, MoonPay Services, Digital Assets, or related functionality is prohibited, restricted, unsupported, or subject to sanctions, embargoes, special export-control restrictions, licensing restrictions, App Store restrictions, or other legal restrictions under applicable law or third-party provider rules. Restricted Jurisdictions may include, without limitation and as updated from time to time, jurisdictions subject to U.S. sanctions administered by the Office of Foreign Assets Control (“OFAC”), U.S. Export Administration Regulations (“EAR”), United Nations sanctions, European Union sanctions, United Kingdom sanctions, MoonPay restricted locations, Apple App Store restrictions, or other applicable sanctions, export-control, financial, or regulatory restrictions. Restricted Jurisdictions may include, without limitation and as updated from time to time, Cuba, Iran, North Korea, Syria for certain export-control purposes, the Crimea region of Ukraine, the so-called Donetsk People’s Republic region of Ukraine, the so-called Luhansk People’s Republic region of Ukraine, and any other jurisdiction designated under applicable sanctions, export-control, App Store, MoonPay, or legal restrictions.

“Beta” means any pre-release, experimental, preview, TestFlight, developer, canary, or otherwise non-general-availability build or feature of the Software.

“$NOV” means a community token referenced in Section 13 below.

2) Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Services. If you are under the age of legal majority, you may not use the Services unless a parent or legal guardian has reviewed and accepted these Terms and supervises your use.

You may not access, download, install, use, or attempt to use the Services if you are located in, ordinarily resident in, incorporated in, organized under the laws of, operating from, or otherwise subject to the laws of a Restricted Jurisdiction, unless such access or use is expressly authorized by applicable law and by us in writing.

You may not use the Services if you are a sanctioned person, blocked person, denied party, restricted party, prohibited end user, prohibited end-use participant, or any person or entity listed on, owned by, controlled by, acting for, or acting on behalf of any person or entity listed on any sanctions, export-control, denied-party, restricted-party, blocked-person, or prohibited-person list, including lists maintained by OFAC, the U.S. Department of Commerce, the United Nations Security Council, the United Kingdom, the European Union, or any other applicable government authority.

You represent and warrant that:

(a) you are of lawful age and have legal capacity to enter into these Terms;

(b) you are not barred from using the Services under applicable law;

(c) you are not located in, ordinarily resident in, incorporated in, organized under the laws of, or operating from a Restricted Jurisdiction;

(d) you are not a sanctioned person, blocked person, restricted person, denied party, prohibited end user, or person subject to similar legal restrictions;

(e) neither you nor any person or entity that owns, controls, is owned by, or is controlled by you is subject to sanctions or listed on any sanctions-related or restricted-party list; and

(f) your use of the Services is lawful in your jurisdiction.

You are solely responsible for determining whether your access to and use of the Services, Digital Assets, Wallet functionality, and MoonPay Services is lawful where you are located and under all laws applicable to you.

3) Non-Custodial Wallet; User Responsibility

Nova Wallet is intended to operate as a non-custodial wallet. This means that, unless expressly stated otherwise for a specific feature, Nova does not take custody of your Digital Assets and does not control your private keys, seed phrases, recovery phrases, or on-chain accounts.

Nova is not a custodian of your Wallet or Digital Assets. Nova does not have the power to initiate, approve, sign, reverse, cancel, freeze, recover, or modify transactions on your behalf.

You are solely responsible for safeguarding your Wallet credentials, including private keys, seed phrases, recovery phrases, passwords, device passcodes, biometric access, encrypted backups, and recovery materials.

If you lose access to your Wallet credentials, Nova may not be able to recover your Wallet, Digital Assets, transaction history, or related information. If someone gains unauthorized access to your Wallet credentials, they may be able to transfer your Digital Assets without your consent.

Anyone who knows or obtains your private key, seed phrase, recovery phrase, password, device passcode, biometric access, or other authentication method may be able to access, transfer, or spend your Digital Assets.

You acknowledge and agree that blockchain transactions are generally irreversible and final. Nova cannot reverse, cancel, refund, freeze, modify, or recover transactions once they are submitted to a blockchain network.

You bear all risk of loss associated with your Wallet, Digital Assets, private keys, recovery phrases, device security, account security, transaction approvals, and interactions with Third-Party Services.

4) Account Registration, Authentication, and Backups

Some features may require authentication, device-level permissions, cloud backup functionality, Apple services, MoonPay account access, or third-party sign-in.

You agree to provide accurate, current, and complete information where required and to keep it up to date.

You are responsible for maintaining the confidentiality and security of your credentials, Device, Apple ID, iCloud account, recovery methods, MoonPay account, and any third-party account used with the Services.

If Nova offers encrypted backup, recovery, sync, or cloud-related features, you are responsible for understanding how those features work, maintaining access to any required credentials, and verifying that backups are complete and usable. Nova does not guarantee that any backup, recovery, sync, or restoration process will be successful in every circumstance.

You must promptly notify us of any suspected unauthorized access, security incident, or loss of control over your account, Wallet, Device, credentials, or MoonPay account.

Third-party authentication, backup, payment, compliance, and identity providers are independent platforms with their own terms and privacy practices. Your use of those providers is subject to their terms.

5) Wallet Features, Transactions, and User Approval

The Services may allow you to view balances, create or import wallets, view wallet addresses, connect to supported blockchain networks, sign messages, create or submit transactions, inspect wallet activity, access token information, view token metadata, view price data, receive security warnings, use wallet safety tools, and access MoonPay Services where available.

Nova may display or link to MoonPay Services so that eligible users may initiate fiat-to-crypto, crypto-to-fiat, purchase, sale, swap, payment, checkout, or related transactions through MoonPay. Nova does not provide the MoonPay Services and does not control MoonPay’s onboarding, eligibility checks, transaction approval, transaction rejection, payment processing, fees, limits, supported assets, supported jurisdictions, refunds, chargebacks, disputes, or compliance decisions.

You are solely responsible for reviewing all transaction details before approving, signing, submitting, or confirming any transaction. This includes recipient addresses, wallet addresses, asset amounts, network fees, priority fees, gas fees, token contracts, permissions, approvals, order details, MoonPay transaction details, payment details, quoted prices, fees, taxes, spreads, slippage, and any other transaction data shown in or outside the Services.

Nova may provide transaction previews, warnings, simulations, safety checks, labels, token metadata, price data, risk indicators, AI-generated explanations, or other informational tooling. These tools are provided on a best-effort basis and may be incomplete, inaccurate, delayed, unavailable, or unable to detect all risks.

Nova does not guarantee that any transaction, MoonPay transaction, token, contract, blockchain network, website, dApp, protocol, quote, route, price, warning, label, security check, counterparty, or Third-Party Service is safe, legitimate, liquid, compliant, available, accurate, or free from defects, exploits, manipulation, or fraud.

You remain solely responsible for your decisions and transactions.

6) MoonPay and Other Third-Party Services

The Services may depend on or interoperate with Third-Party Services. Nova does not own or control Third-Party Services and is not responsible for their content, operation, availability, accuracy, security, legality, fees, transactions, smart contracts, liquidity, order execution, payment processing, identity verification, KYC, AML screening, sanctions screening, fraud screening, or user experience.

MoonPay is an independent third-party provider. Your use of MoonPay Services is subject to MoonPay’s own terms, privacy policy, fees, limits, eligibility requirements, onboarding requirements, compliance program, supported jurisdictions, supported assets, and transaction rules.

MoonPay may require identity verification, KYC, AML screening, sanctions screening, fraud screening, source-of-funds information, payment method verification, wallet screening, transaction monitoring, enhanced due diligence, and other compliance checks. MoonPay may approve, reject, delay, suspend, limit, reverse, cancel, block, or restrict transactions or accounts in its discretion or as required by law.

MoonPay Services may not be available in all markets, jurisdictions, U.S. states, territories, countries, regions, or for all users, payment methods, Digital Assets, transaction types, or wallet addresses. MoonPay may change availability, fees, limits, requirements, supported assets, supported payment methods, and supported jurisdictions at any time.

Your dealings with MoonPay are solely between you and MoonPay. Nova is not responsible for any loss, delay, rejected transaction, failed transaction, account closure, compliance decision, wallet address error, payment error, fee, refund, chargeback, tax issue, or dispute arising from or related to MoonPay Services.

Blockchain networks may experience congestion, downtime, forks, failed transactions, delayed confirmations, validator issues, RPC outages, inaccurate indexing, or other technical issues. Nova is not responsible for losses, delays, failed transactions, or inaccurate information caused by blockchain networks or Third-Party Services.

7) App Store Distribution

Nova Wallet is distributed through the Apple App Store. Your download and use of Nova Wallet may also be subject to Apple’s terms, policies, and rules, including the Apple Media Services Terms and applicable App Store requirements.

Apple is not responsible for the Services, their content, maintenance, support, claims, investigations, or legal compliance, except as required by applicable law or Apple’s own terms.

To the extent required by Apple, Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of Nova Wallet on Apple devices.

The availability of Nova Wallet through the Apple App Store, TestFlight, our website, or any other distribution channel does not mean that the Services, MoonPay Services, Digital Assets, or related functionality are legal or available for use in your jurisdiction.

8) System Requirements; Updates; Changes

Use of the Services may require a supported Apple device, compatible iOS or iPadOS version, sufficient storage, internet access, device permissions, Apple services, and access to certain Third-Party Services.

We may provide patches, updates, or new versions that automatically install or prompt you to install through the App Store or other permitted distribution channels. Updates may modify, add, or remove features, interfaces, dependencies, supported networks, supported assets, or integrations.

We may add, modify, suspend, restrict, geofence, block, disable, or discontinue any part of the Services at any time, with or without notice, including for legal, sanctions, export-control, MoonPay, App Store, security, compliance, business, or risk-management reasons.

We have no obligation to maintain legacy versions, specific features, specific integrations, or support for any particular blockchain network, token, protocol, device, operating system, MoonPay feature, jurisdiction, or Third-Party Service.

9) License Grant and Restrictions

Subject to your compliance with this Agreement, Nova grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Software on Devices you own or control for your personal or internal business purposes.

You will not, and will not enable others to:

copy, modify, translate, adapt, or create derivative works of the Software except to the extent a specific component is licensed under open-source terms that allow it;

reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, protocols, models, or non-public systems, except to the extent such restriction is prohibited by law;

bypass, disable, or interfere with security-related features, usage limits, access controls, compliance restrictions, geographic restrictions, or license enforcement;

rent, lease, lend, sell, sublicense, assign, distribute, or make the Software available to third parties except as expressly permitted by us;

use the Services to operate malware, wallet drainers, phishing kits, scams, unauthorized automation, abusive bots, or other harmful systems;

use the Services for illegal, harmful, deceptive, high-risk, unauthorized, sanctioned, or restricted purposes.

Open-source components may be provided under separate open-source licenses. To the extent of any conflict, the applicable open-source license terms govern those components.

10) Prohibited Conduct

You agree not to use the Services to:

violate any applicable law, regulation, third-party right, export control, sanctions restriction, App Store rule, MoonPay rule, or Third-Party Service rule;

engage in fraud, deception, market manipulation, money laundering, terrorist financing, sanctions evasion, tax evasion, anti-proliferation violations, or other unlawful financial activity;

use the Services from, for the benefit of, or in connection with any Restricted Jurisdiction, sanctioned person, sanctioned entity, blocked person, blocked property, prohibited end use, prohibited end user, or denied party;

disguise, misrepresent, or conceal your location, residency, citizenship, identity, ownership, control, source of funds, source of wealth, wallet ownership, or sanctions status;

use VPNs, proxies, relays, remote access tools, false information, false identity information, false residency information, or other circumvention tools to bypass geographic, sanctions, export-control, MoonPay, App Store, compliance, legal, or security restrictions;

supply, export, re-export, transfer, provide, or make available the Services, Software, Digital Assets, MoonPay Services, or related functionality to any Restricted Jurisdiction, sanctioned person, sanctioned entity, blocked person, prohibited end user, or prohibited end use;

use the Services to transmit, receive, purchase, sell, or hold Digital Assets that are stolen, fraudulently obtained, unlawfully derived, or connected to unlawful activity;

harass, harm, exploit, impersonate, or mislead others;

create, distribute, promote, or operate malware, spyware, wallet drainers, phishing pages, malicious smart contracts, fake token schemes, impersonation schemes, or other harmful code or deceptive activity;

gain unauthorized access to accounts, devices, wallets, systems, networks, data, MoonPay accounts, or Third-Party Services;

interfere with, overload, probe, scrape, exploit, or compromise the Services or related infrastructure;

misrepresent your affiliation with Nova, 404 ENTERPRISE LLC, MoonPay, Apple, or any third party;

encourage or enable any other person to do any of the foregoing.

We may investigate and take any action we deem appropriate, including suspension, termination, geofencing, blocking access to certain features, disabling MoonPay access, referral to authorities, or legal action.

11) Beta Disclaimer; Pre-Release Features

Beta builds and Beta features are experimental and may be incomplete, unstable, inaccurate, or unavailable. Features may change without notice, and performance may vary.

You use Beta features at your sole risk. We may limit, modify, or revoke Beta access at any time.

TestFlight, pre-release, or invite-only versions of Nova Wallet may be subject to additional limits, requirements, or confidentiality obligations communicated at the time of access.

12) MoonPay Transactions; Payments; Fees; App Store Purchases

Nova does not process fiat payments, does not provide fiat-to-crypto services, does not provide crypto-to-fiat services, does not provide exchange services, and does not custody payment funds. Where fiat purchase, sale, swap, checkout, on-ramp, off-ramp, or payment functionality is available through the Services, such functionality is provided by MoonPay as an independent third-party provider.

MoonPay may charge fees, spreads, network fees, banking rail fees, conversion fees, service fees, ecosystem fees, partner fees, taxes, or other amounts. MoonPay fees and applicable transaction details should be disclosed by MoonPay before you confirm a MoonPay transaction.

Nova may receive referral fees, affiliate fees, partner fees, ecosystem fees, revenue share, or other compensation from MoonPay or related third parties where permitted by law and applicable platform rules.

MoonPay transactions may be subject to minimums, maximums, transaction limits, payment method limits, jurisdictional limits, asset limits, compliance holds, enhanced due diligence, fraud screening, sanctions screening, delays, cancellations, rejections, refunds, chargebacks, reversals, account restrictions, and other limitations.

You are solely responsible for ensuring that wallet addresses, payment details, bank details, card details, account details, transaction details, and MoonPay information are accurate and complete. Digital Assets sent to an incorrect wallet address may be lost permanently.

Some features of Nova may be free, while others may require payment, subscription, access eligibility, or third-party fees.

If purchases or subscriptions for Nova app features are offered through the App Store, payment, renewal, cancellation, and refund handling may be managed by Apple under Apple’s terms and policies.

Blockchain transactions may involve network fees, priority fees, validator fees, gas fees, protocol fees, price spreads, slippage, or other costs. These fees may be charged by third parties or blockchain networks and may not be controlled by Nova.

Fees are non-refundable except where required by law, Apple policy, MoonPay policy, or where we expressly state otherwise.

You agree not to bypass any paywall, access control, quota, fee, usage limit, MoonPay limit, App Store rule, or compliance restriction.

13) Community Token ($NOV) Disclosures

Nova’s ecosystem may be associated with a community token known as $NOV. $NOV is not sold by Nova within the Services. If you acquire $NOV elsewhere, you acknowledge and agree:

$NOV does not convey any equity, ownership, dividends, profit-share, governance rights, creditor rights, or any claim against 404 ENTERPRISE LLC or its affiliates.

$NOV is not an investment, security, note, commodity interest, derivative, or financial product offered through the Services.

Nothing in the Services or these Terms is an offer to sell or a solicitation to buy any security, commodity interest, derivative, or financial instrument.

$NOV is intended solely as a community-driven, experimental mechanism that may support ecosystem initiatives at Nova’s discretion.

There is no promise or expectation of profit, appreciation, liquidity, listing, utility, buyback, burn, reward, or future functionality.

Jurisdictional restrictions may apply. You are solely responsible for complying with local laws, taxes, and reporting obligations related to any token activity.

Nova does not control third-party marketplaces, smart contracts, liquidity pools, exchanges, token contracts, or token holders and bears no responsibility for losses or issues arising from them.

References to $NOV in communications, transparency reports, burns, locks, contributions, or ecosystem updates are informational, may be forward-looking, and may change without notice.

14) No Regulated Financial Services by Nova; No Professional Advice

Nova is a developer and provider of non-custodial wallet software.

Nova is not a bank, broker, dealer, exchange, exchange platform, money transmitter, money services business, payment institution, custodian, fiduciary, investment adviser, financial adviser, commodity trading adviser, futures commission merchant, introducing broker, clearing service, trade execution service, or virtual asset service provider.

Nova does not execute trades on your behalf, does not clear or settle transactions for you, does not custody your Digital Assets, does not hold fiat funds for you, does not process fiat payments for you, and does not make transaction decisions for you.

Any fiat-to-crypto, crypto-to-fiat, on-ramp, off-ramp, purchase, sale, swap, checkout, payment, account, KYC, AML, sanctions screening, or transaction functionality is provided by MoonPay or another Third-Party Service, not by Nova.

The Services may provide wallet safety checks, dApp warnings, transaction analysis, token labels, risk indicators, AI-generated explanations, market data, security guidance, or other informational outputs.

These outputs are provided for informational purposes only and do not constitute legal, financial, investment, tax, cybersecurity, trading, accounting, or professional advice.

Nova does not guarantee threat prevention, exploit detection, fraud detection, transaction success, asset recovery, price accuracy, market accuracy, regulatory compliance, tax treatment, or protection from loss.

You should independently verify information before making decisions and consult qualified professionals where appropriate.

15) Digital Asset and Blockchain Risk

Digital Assets are experimental, risky, volatile, and may lose some or all of their value. Prices may change rapidly due to market conditions, liquidity, speculation, technology, security incidents, regulatory action, or other factors.

Anyone can create a token, including fake tokens, scam tokens, impersonation tokens, and tokens that falsely claim to represent real projects. Nova does not guarantee that any token, token name, token logo, contract address, metadata, price, or label is accurate, legitimate, safe, or endorsed.

Blockchain networks and smart contracts may contain bugs, vulnerabilities, backdoors, design flaws, governance risks, validator risks, bridge risks, oracle risks, liquidity risks, cyberattack risks, or other risks.

Network fees, gas fees, transaction speed, transaction success, and confirmation times may vary and may increase dramatically at any time.

You acknowledge and agree that you access and use the Services, Digital Assets, blockchain networks, and Third-Party Services at your own risk.

16) High-Risk Use Disclaimer

The Services are not designed for use in hazardous environments, mission-critical systems, regulated financial infrastructure, emergency communications, medical systems, life support, nuclear facilities, air traffic control, or any other setting where failure could lead to death, personal injury, severe environmental damage, major financial loss, or systemic risk.

You must not use the Services for any High-Risk Use.

17) User Content; Logs; Telemetry

You may submit feedback, support requests, logs, screenshots, wallet addresses, transaction details, crash reports, or other content to Nova.

If you voluntarily submit content to us, you grant Nova a non-exclusive, worldwide, royalty-free license to use, reproduce, analyze, modify, and create derivative works from such submissions for the purposes of operating, supporting, improving, securing, and developing the Services.

Do not submit information you are not authorized to share. Do not submit private keys, seed phrases, recovery phrases, passwords, confidential documents, financial account credentials, government IDs, or sensitive personal information unless specifically required by a trusted third-party provider such as MoonPay through its own secure flow.

The Services may collect limited technical, diagnostic, analytics, or telemetry data as described in our Privacy Policy. Where options are provided, you may control certain data collection settings.

MoonPay and other Third-Party Services may collect information under their own privacy policies and compliance programs. Nova is not responsible for MoonPay’s or any third party’s privacy practices.

18) Intellectual Property; Feedback

The Services, including Software, UI, UX, graphics, branding, logos, documentation, systems, and content, are owned by 404 ENTERPRISE LLC or its licensors and are protected by intellectual property laws.

Except for the limited license granted in these Terms, no rights are granted to you in the Services.

If you provide suggestions, bug reports, ideas, or feedback, you grant Nova a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback without restriction or obligation to you.

19) Third-Party Content and Market Data

The Services may display token metadata, prices, charts, liquidity data, balances, transaction history, social information, labels, risk indicators, MoonPay information, or other third-party content.

Such information may be inaccurate, delayed, incomplete, unavailable, manipulated, or inconsistent across providers. Nova does not guarantee the accuracy or completeness of third-party content, market data, MoonPay data, or blockchain data.

You should not rely solely on information displayed in the Services when making financial, legal, tax, security, or transactional decisions.

20) DMCA & Copyright Policy

If you believe content within the Services infringes your copyright, send a notice compliant with 17 U.S.C. §512(c)(3) to our designated agent:

21) Sanctions; Export Controls; Restricted Jurisdictions; Anti-Corruption

Nova Wallet is not offered to, and may not be used by, persons or entities in Restricted Jurisdictions or by sanctioned, blocked, denied, or restricted persons.

You may not access, download, install, use, or attempt to use the Services if:

(a) you are located in, ordinarily resident in, incorporated in, organized under the laws of, or operating from a Restricted Jurisdiction;

(b) you are the government of, or acting for or on behalf of the government of, a Restricted Jurisdiction;

(c) you are listed on, owned by, controlled by, acting for, or acting on behalf of any person or entity listed on any sanctions, denied-party, restricted-party, blocked-person, or prohibited-person list, including the OFAC Specially Designated Nationals and Blocked Persons List, the U.S. Consolidated Screening List, the U.S. Commerce Department Denied Persons List, Entity List, Unverified List, the U.K. Sanctions List, the EU Consolidated Financial Sanctions List, the United Nations sanctions lists, or any similar list;

(d) your use of the Services would violate applicable sanctions, export controls, anti-money laundering laws, counter-terrorist financing laws, anti-proliferation laws, anti-corruption laws, App Store rules, MoonPay rules, or other legal restrictions; or

(e) you intend to supply, export, re-export, transfer, provide, or make available the Services, Software, Digital Assets, MoonPay Services, or any related functionality to any Restricted Jurisdiction, sanctioned person, blocked person, denied party, prohibited end user, or prohibited end use.

You agree to comply with all applicable U.S. and non-U.S. export-control, sanctions, anti-money laundering, counter-terrorist financing, anti-proliferation, anti-bribery, and anti-corruption laws and regulations.

You may not use VPNs, proxies, relays, remote access tools, false information, false identity information, false residency information, or any other method to disguise your location, residency, identity, ownership, control, source of funds, source of wealth, wallet ownership, or sanctions status, or to bypass any geographic, legal, App Store, MoonPay, sanctions, export-control, compliance, or security restriction.

We may restrict, block, suspend, terminate, geofence, disable, or limit access to the Services, any feature, any supported network, any supported asset, MoonPay access, or any Third-Party Service at any time where we believe such action is required or appropriate for legal, sanctions, export-control, App Store, MoonPay, security, compliance, business, or risk-management reasons.

MoonPay may separately restrict, reject, suspend, block, delay, or terminate MoonPay Services, MoonPay accounts, or MoonPay transactions for legal, sanctions, export-control, AML, CFT, fraud, compliance, risk-management, or business reasons.

The availability of the Services through the Apple App Store, TestFlight, our website, or any other distribution channel does not mean that the Services, MoonPay Services, Digital Assets, or related functionality are legal or available for use in your jurisdiction.

You also agree to comply with all applicable anti-bribery and anti-corruption laws, including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, and similar laws. You may not use the Services to offer, pay, promise, authorize, solicit, or receive any bribe, kickback, improper payment, or other thing of value.

22) Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we handle personal information, wallet-related data, telemetry, analytics, retention, and your choices.

You should review the Privacy Policy before using the Services.

MoonPay Services are subject to MoonPay’s own privacy policy. MoonPay may collect identity, payment, device, wallet, transaction, sanctions-screening, fraud-screening, KYC, AML, and compliance information under MoonPay’s own policies and legal obligations.

23) Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS.

404 ENTERPRISE LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, COMPATIBLE WITH ALL DEVICES OR NETWORKS, FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THAT ANY WALLET, TRANSACTION, TOKEN, PROTOCOL, DAPP, SMART CONTRACT, BLOCKCHAIN NETWORK, MOONPAY SERVICE, QUOTE, PRICE, WARNING, LABEL, SECURITY CHECK, OR THIRD-PARTY SERVICE WILL BE SAFE, ACCURATE, PROFITABLE, COMPLIANT, AVAILABLE, OR FREE FROM LOSS.

WE DO NOT WARRANT THAT MOONPAY SERVICES WILL BE AVAILABLE TO YOU, THAT MOONPAY WILL APPROVE ANY TRANSACTION, THAT MOONPAY WILL SUPPORT ANY PAYMENT METHOD OR DIGITAL ASSET, OR THAT MOONPAY WILL OPERATE IN YOUR JURISDICTION.

YOU ARE SOLELY RESPONSIBLE FOR YOUR WALLET, CREDENTIALS, TRANSACTIONS, DIGITAL ASSETS, BACKUPS, SECURITY PRACTICES, MOONPAY ACCOUNT, PAYMENT DETAILS, TAXES, COMPLIANCE, AND DECISIONS.

24) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

404 ENTERPRISE LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA; LOSS OF PROFITS OR REVENUE; LOSS OF DIGITAL ASSETS; LOST OPPORTUNITY; BUSINESS INTERRUPTION; DEVICE FAILURE OR MALFUNCTION; SECURITY INCIDENTS; UNAUTHORIZED ACCESS; FAILED TRANSACTIONS; SMART CONTRACT EXPLOITS; MARKET VOLATILITY; PRICE IMPACT; SLIPPAGE; MOONPAY SERVICE FAILURE; MOONPAY TRANSACTION FAILURE; PAYMENT FAILURE; BANKING FAILURE; CHARGEBACK; REFUND ISSUE; COMPLIANCE HOLD; ACCOUNT RESTRICTION; THIRD-PARTY SERVICE FAILURE; OR COSTS OF SUBSTITUTE GOODS OR SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL NOVA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO NOVA FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $50.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

25) Indemnification

You will defend, indemnify, and hold harmless 404 ENTERPRISE LLC and its affiliates, officers, employees, agents, suppliers, service providers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to:

your use or misuse of the Services;

your Wallet, transactions, Digital Assets, MoonPay account, MoonPay transactions, payment details, or interactions with Third-Party Services;

your violation of this Agreement or applicable law;

your violation of sanctions, export-control, AML, CFT, anti-corruption, App Store, MoonPay, or other compliance restrictions;

your infringement or violation of third-party rights;

your fraud, misconduct, negligence, or unauthorized activity.

26) Term; Suspension; Termination

This Agreement becomes effective when you first download, install, access, or use the Services and continues until terminated.

We may suspend, restrict, geofence, block, or terminate your access to the Services at any time for any or no reason, including violation of these Terms, legal or regulatory risk, sanctions risk, export-control risk, MoonPay risk, App Store risk, security risk, suspected fraud, abuse, or risk to Nova, users, third parties, or infrastructure.

You may terminate this Agreement by uninstalling Nova Wallet and ceasing all use of the Services.

Upon termination, your license ends and you must stop using the Services. Sections that by their nature should survive will survive, including Sections 3, 5, 6, 9–25, and 27–35.

Termination will not affect blockchain transactions already submitted, MoonPay transactions already initiated, or your obligations related to prior use.

27) Government Use

If you are a U.S. Government end user, the Software is “commercial computer software” and “commercial computer software documentation” provided with only those rights set forth in this Agreement, per FAR 12.212 and DFARS 227.7202, as applicable.

28) Notices; Electronic Communications

We may provide notices, including updates to these Terms, through the Services, our website, email, App Store listing, or other reasonable electronic means.

You agree to receive communications electronically and that such communications satisfy any legal requirement that communications be in writing.

29) Assignment

You may not assign or transfer this Agreement without Nova’s prior written consent.

Nova may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or change of control.

30) Governing Law; Venue; Jury & Class Waiver

This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules.

You consent to the exclusive jurisdiction and venue of the state and federal courts located in Casper, Wyoming for any dispute not subject to arbitration or where arbitration is unavailable.

To the maximum extent permitted by law, you and Nova waive any right to a jury trial and any right to participate in a class, consolidated, collective, or representative action.

31) Force Majeure

Nova will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, labor disputes, shortages, cyberattacks, war, terrorism, civil unrest, natural disasters, utilities or communications failures, blockchain network failures, MoonPay outages, payment processor outages, banking outages, third-party service outages, regulatory action, sanctions action, export-control action, App Store action, or governmental action.

32) Changes to These Terms

We may update these Terms from time to time. Material changes may be communicated through the Services, our website, email, App Store listing, or other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree, you must stop using the Services.

33) Severability; No Waiver

If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision is not a waiver of such right or provision.

34) Entire Agreement; Order of Precedence

These Terms and the Privacy Policy constitute the entire agreement between you and Nova regarding the Services and supersede all prior or contemporaneous agreements on the subject matter.

MoonPay Services are governed by MoonPay’s own terms and privacy policy. In the event of a conflict between these Terms and MoonPay’s terms regarding MoonPay Services, MoonPay’s terms govern your use of MoonPay Services.

In the event of conflict between these Terms and any open-source license for a specific component, the open-source license governs that component.
